Reading the Register of Overseas Entities

For decades a building in Britain could be owned by a company registered somewhere that published nothing about who owned it, and the question of who really owned the building had no answer available to the public. The Economic Crime (Transparency and Enforcement) Act 2022 closed that: an overseas entity holding UK land has to register here and name its beneficial owners, and one that does not cannot sell, mortgage, or grant a long lease over what it holds.

The register therefore produces two figures rather than one. How many entities are on it is a measure of how much UK land is held from abroad. How many are on it and have named nobody is a measure of how well the Act is working — and it is the harder figure to find, because it needs two registers read at once: the entities themselves, and the people with significant control filed against each of them.

Treat an absence as a question rather than an answer. An entity can legitimately have no registrable beneficial owner and file its managing officers instead; a filing made since the last snapshot will not be here yet. What an empty entry is worth is a look at the entity’s own filing history, which its page links to.

What this cannot tell you is which property an entity owns. Titles are held by HM Land Registry, Registers of Scotland and Land and Property Services, and licensed separately from company data. This answers the other half: who stands behind the name on the title.

What is the Register of Overseas Entities?
A register of the foreign companies, partnerships and other entities that own land in the United Kingdom. It opened on 1 August 2022 under the Economic Crime (Transparency and Enforcement) Act 2022, and an entity on it must name the people who ultimately own or control it. Before it existed, a building in London could be owned by a company in a jurisdiction that published nothing, and the answer to who owned the building was simply unavailable.
Which overseas owners have to register?
Any overseas entity that owns qualifying land bought since 1 January 1999 in England and Wales, since 8 December 2014 in Scotland, or since 1 August 2022 in Northern Ireland. Entities that already held such land had until 31 January 2023 to register. Each one must also file an update statement every year, confirming the information is still right or correcting it.
What happens to an entity that does not register?
It keeps the land and loses the ability to do anything with it. The Land Registry will not register a sale, a lease of more than seven years or a mortgage in favour of an unregistered overseas entity, which makes the property very difficult to sell or to borrow against. Failing to register is also a criminal offence for the entity and its officers, carrying a daily fine and, on conviction, imprisonment.
Does no owner recorded here mean the entity broke the law?
No, and it should not be read that way. An entity can have no registrable beneficial owner to declare — control may sit with a government, or be so dispersed that nobody meets the threshold — in which case it files its managing officers instead. Information may also have been filed since the snapshot this page is built from, or filed in a form this register does not pick up. What the page shows is an absence in the published data, which is a reason to look at the entity’s own filing history, not a conclusion about it.
Can I see which property an entity owns?
Not here. Ownership of land is recorded by HM Land Registry, Registers of Scotland and Land and Property Services in Northern Ireland, and title data is licensed separately from company data. This page answers the other half of the question — who is behind the entity named on the title — from Companies House, which publishes the register of overseas entities and the beneficial owners filed against it.
